Collective schizophrenia? the role of Public Registry in corporate reorganizations in Peru

The purpose of this paper is to analyze the conflictive relationship between the General Corporation Law and the Public Registry, concerning the effective date of corporate reorganizations. The author examines the rationality of the procedure regulated by the rules and recommended by the doctrine, the rights and interests that are intended to be protected and the deficiencies and possible interpretations of the language of the regulation. At the end of this paper, the author includes suggestions for a possible reform of the law on mergers and spin-offs.
